CMA releases proposed bylaw changes

The following bylaw amendments will be considered by General Council during its Sept. 6­9 annual meeting [Assemblée annuelle du 6 au 9 septembre]. The amendments are marked in bold; deletions are also marked in bold, within square brackets. Recommendation 1

4.1 The Association shall be composed of ordinary members, members-at-large, students, residents, retired members, senior and honorary members designated as hereinafter set out.

4.5 Residents

Any postgraduate medical trainee who, being a medical practitioner, is enrolled in a postgraduate program at a medical school recognized by the Association, may be accepted as a resident member of the Association.

Recommendation 2

9.1.1 (a) Nominations for the offices of President-Elect, Chair of the Board of Directors, Honorary Treasurer, Speaker and Deputy Speaker of the General Council [, a nominee to the Committee on Nominations] and one or more nominees to the Committee on Finance and the Chair and members of the Committee on Ethics shall be submitted in writing at least 90 days prior to the first day of the Annual Meeting by any division or by 50 members of the Association

Recommendation 3

9.1.2 (a) New bylaw

(i) Nominees to the Committee on Nominations shall, in the case of divisional membership, be submitted in writing at least 90 days prior to the first day of the Annual Meeting by each division or by 50 members of the Association;

(ii) Nominees to the Committee on Nominations shall, in the case of the affiliate member, be submitted in writing at least 90 days prior to the first day of the Annual Meeting by the Board of Directors after consultation with affiliate societies or by 50 members of any affiliate society;

(iii) Nominees to the Committee on Nominations shall, in the case of the medical student member, be submitted in writing at least 90 days prior to the first day of the Annual Meeting by the Board of Directors after consultation with affiliate medical student societies or by 50 members of any affiliate society representing medical students;

(iv) Nominees to the Committee on Nominations shall, in the case of the postgraduate medical trainee member, be submitted in writing at least 90 days prior to the first day of the Annual Meeting by the Board of Directors after consultation with affiliate postgraduate medical trainee societies or by 50 members of any affiliate society representing postgraduate medical trainees.

9.1.2 Renumber as 9.1.3

9.1.3(c) At least 90 days prior to the first day of the Annual Meeting, nominations for the Board of Directors and their alternates shall be submitted in writing to the Secretary General: (i) for directors from category 9.1.3 (a)(i) by any division or by 50 Association members of any division;

(ii) for directors from category 9.1.3 (a)(ii) by any affiliate society, by 50 Association members of any affiliate society or by the Board of Directors; (iii) for directors from category 9.1.3(a)(iii) by any affiliate society representing students, by 50 Association members of any affiliate society representing students or by the Board of Directors; (iv) for directors from category 9.1.3(a)(iv) by any affiliate society representing medical trainees, by 50 Association members of any affiliate society representing medical trainees or by the Board of Directors.

Recommendation 5

9.1.4 Only members of the Association (a) who are members of the medical profession shall be eligible to be nominated to the positions referred to in sections 9.1.1, 9.1.2(a), (i) & (ii) and 9.1.3(a), (i) & (ii);

(b) who are medical students shall be eligible to be nominated to the positions referred to in sections 9.1.2(a)(iii) and 9.1.3(a)(iii);

(c) who are postgraduate medical trainees shall be eligible to be nominated to the position referred to in section 9.1.2(a)(iv) and 9.1.3(a)(iv).

Recommendation 6

15.3.1 There shall be a Committee on Nominations elected by General Council at the time of the Annual meeting, with one member from each division, one member representing the affiliate societies, one member representing postgraduate medical trainees and one member representing medical students. The Immediate Past President shall be the Chair. The nominees shall be selected on the basis of their knowledge, ability and interest in the work of the committee. The Secretary General or delegate shall be present in a secretarial capacity.

Recommendation 7

15.3.3 Twelve members of the committee, including the Chair, shall constitute a quorum.

15.3.5(f) The committee shall select nominations only from those placed before it through the process referred to in 9.1.1, 9.1.2, 9.1.3 and 9.1.6....

Recommendation 8

15.3.5(h) Only candidates nominated prior to the 90-day cut-off period or by the Committee on Nominations as in 15.3.5 (f) would be eligible for presentation to General Council by the Committee on Nominations.

Recommendation 9

That the existing numbering in the bylaws be amended as required to facilitate the preceding resolutions.
